China Infrastructure & Logistics Group Ltd. (the “Company”) is a limited liability company incorporated in the Cayman Islands. The Company’s registered office is located at P.O. Box 309, GT Ugland House, South Church Street, George Town, Grand Cayman, Cayman Islands. The principal place of business of the Company is Suite 2101, 21/F., Two Exchange Square, 8 Connaught Place, Central, Hong Kong. The Company’s shares were listed on the Growth Enterprise Market (the “GEM”) of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) on 16 September 2005 and have been transferred from GEM to the Main Board of the Stock Exchange subsequent to year end on 29 January 2018.

The Company’s immediate holding company is Zall Infrastructure Investments Company Limited, a limited liability company incorporated in the British Virgin Islands. The directors of the Company consider the ultimate holding company to be Zall Holdings Company Limited (“Zall Holdings”), a company incorporated in the British Virgin Islands and is wholly owned and controlled by Mr. Yan Zhi (“Mr. Yan”).

The Company is an investment holding company and its subsidiaries (together, the “Group”) are principally engaged in port construction and operation, port and warehouse leasing, the provision of logistics services and supply chain management and trading services. The Group’s operations are based in Hong Kong and the People’s Republic of China (“PRC”).
